- Contract management & commercial legal advisory
- Review, appraise and ensure the legality of economic contracts: customer/logistics service contracts, office–warehouse–post-office leases, vendor and vehicle-rental contracts, labor contracts and contracts with suppliers and partners.
- Lead the development and standardization of framework contracts, templates and standard legal clauses for the above contract groups; update periodically.
- Assess key clauses: liability, compensation, liability caps, penalties, payment, confidentiality, termination and dispute resolution; propose risk-control options aligned with business interests.
- Participate in or lead negotiation of legal terms for high-value, complex or high-risk transactions.
- Set up the contract intake–review–approval–signing–storage–renewal–liquidation process; build early warnings for expiring or at-risk contracts and a contract data system.
- Advise Sales, Operations, Procurement and Finance; handle commercial claims and disputes arising during contract performance.
- Assign work, control the quality of the team's contract reviews and be accountable for final results.
- Legal compliance, legal risk & disputes
- Build the legal compliance system: identify key legal areas for express-delivery operations and the nationwide network; maintain a compliance-obligation register, legal-risk register and a periodic compliance review plan.
- Monitor and assess the impact of legal changes; turn them into guidance, processes and controls; review the legality of internal regulations, processes and policies.
- Lead/coordinate handling of violations, incidents, claims, disputes and litigation; work with authorities and external lawyers; report material risks, options and remediation progress to Leadership.
- Labor law & labor relations
- Advise on and control compliance with the Labor Law in recruitment, conclusion and performance of labor contracts, wages, working hours, insurance, discipline and termination.
- Review the legality of internal labor regulations, collective labor agreements, HR policies and labor forms.
- Advise on complex labor-relations situations, labor disputes and complaints; work with HR and Operations to build discipline/termination processes that follow the correct procedures.
- Update labor-law changes and guide the branch network consistently; control the quality of labor legal opinions prepared by specialists or external advisors.
- Corporate governance & legal preparation under the Securities Law
- Build a legal preparation plan aligned with the roadmap to become a public company; research and update enterprise, securities, corporate-governance and disclosure requirements by stage.
- Review and propose improvements to the Charter, governance regulations, delegation/authorization rules, decision-making processes and corporate legal records.
- Work with Leadership, Finance & Accounting, advisors and lawyers on records preparation, compliance gap assessment and remediation; advise on procedures for the General Meeting of Shareholders, Board meetings and reporting/disclosure obligations when applicable.
- Track progress of legal workstreams on the roadmap; report open issues and propose solutions.
- University degree or higher in Law; a Master's degree in Law, a Lawyer's Practicing Certificate or advanced qualifications in business law/corporate governance are preferred.
- Sound knowledge of enterprise, commercial, civil, labor, securities and litigation-related law.
- Knowledge of regulations specific to logistics, transportation, postal services and e-commerce.
- Understanding of corporate governance, legal risk management, internal control and corporate compliance systems.
- Minimum 7 years of experience in corporate legal affairs, legal advisory or corporate law practice, including at least 3 years in a management or team-lead role.
- Hands-on experience reviewing and negotiating commercial contracts, managing risk, labor-law compliance and handling disputes.
- Experience in logistics/transportation/postal/express delivery or enterprises with a nationwide branch network is preferred.
- Experience building corporate-governance systems, preparing IPO/public-company records, or legal work at a public/listed company is preferred.
- Contract analysis, risk identification and solutions that balance compliance with business objectives.
- Building processes, policies, control systems and compliance governance mechanisms.
- Handling disputes and litigation; working with state authorities; coordinating external lawyers and advisors.
- Managing contract data and applying digital tools in legal governance.
- Negotiation, advisory and influencing; leading and developing a team; strategic thinking and decisiveness under high pressure.
- Integrity, confidentiality, objectivity and a strong sense of responsibility.
- Proactive collaboration with Sales, Operations and branches.
- Legal English is an advantage; willing to travel to branches when required.
