  • This role bears primary responsibility for legal advisory and shares responsibilities in compliance and data protection management with Local Compliance Officer (LCO) and Data Protection Coordinator (DPC). The role operates within the boundaries of company policies and legal frameworks, with strategic decisions being supervised and guided by business leadership.
  • Legal Advisory and Support
  • Provide legal advice and solutions to the business units on a wide range of matters, including corporate, commercial, employment, intellectual property, regulatory, and compliance issues.
  • Draft, review, and negotiate contracts, including distribution agreements, service agreements, NDAs, and other commercial contracts.
  • Advise on legal risks, rights, and obligations associated with business transactions and operations.
  • Support in regional Legal & Compliance projects and initiatives across Southeast Asia and, where required, other markets beyond Vietnam, working collaboratively with regional and global Legal & Compliance colleagues.
  • Compliance
  • Monitor and ensure compliance with local laws, regulations, and industry standards.
  • Manage compliance programs, including conflict of interests, anti-bribery and corruption, data protection, and anti-trust laws.
  • Dispute Resolution and Litigation
  • Handle and oversee legal disputes, litigation, and arbitration proceedings.
  • Collaborate with external counsel and manage legal budgets related to disputes.
  • Provide strategic guidance on dispute resolution to minimize exposure to legal risks.
  • Corporate Governance
  • Support corporate secretarial functions
  • Reviewing board resolutions, meeting minutes, and corporate governance documentation.
  • Advise on directors' duties and corporate governance best practices.
  • Risk Management
  • Identify, assess, and mitigate legal and compliance risks associated with the company's operations.
  • Training and Awareness
  • Conduct training sessions for employees on legal and compliance topics, including contract management, compliance, and data protection.
  • Foster awareness of legal and ethical standards across the organization.
  • Stakeholder Management
  • Act as the primary legal contact for internal stakeholders, providing responsive and commercially practical solutions.
  • Liaise with external counsel, regulators, and other third parties as required.
